The rules that govern your use of Shadow, including eligibility, payments, acceptable use, and liability terms.

Overview

These Terms of Service ("Terms") govern your use of Shadow, a service provided by Sophon Labs, Inc. ("Sophon Labs", "we", "us", or "our"). Shadow helps you manage day-to-day tasks through chat and related product experiences.

By using Shadow, you agree to these Terms. If you do not agree, do not use Shadow.

Eligibility

You must be at least 18 years old, or the age of majority where you live, to use Shadow. By using Shadow, you confirm that you meet this requirement and have authority to agree to these Terms.

Shadow is not intended for children. If we learn that a child has used Shadow in violation of these Terms, we may suspend the account and delete related information where appropriate.

Your Account

You are responsible for the accuracy of the information you provide and for activity under your account or phone number. You must keep your account secure and notify us promptly if you believe your account has been compromised.

Shadow may use WhatsApp, Meta, Stripe, AI model providers, cloud infrastructure providers, and other third-party services. Your use of those services may also be subject to their terms and policies.

The Service

Shadow helps you manage day-to-day tasks. It may generate reminders, summaries, suggestions, or responses based on your messages and available context.

Shadow is not a replacement for professional advice. Do not rely on Shadow for medical, legal, financial, tax, mental-health, emergency, or safety-critical advice. If you need professional help, contact a qualified professional. If you are in an emergency, contact local emergency services.

AI-generated output may be incomplete, inaccurate, delayed, or unsuitable for your situation. You are responsible for reviewing and deciding how to use Shadow's output.

Payments

Some features may require payment. Payments are processed through Stripe or another payment provider. We do not store full payment card numbers.

Prices, billing periods, renewal terms, cancellation rules, refund rules, and taxes will be shown in the applicable checkout or account flow. Unless otherwise stated, fees are non-refundable except where required by law.

Your Content

You retain ownership of the messages, tasks, instructions, and other content you submit to Shadow ("User Content").

You grant Sophon Labs a limited license to process User Content to provide, maintain, secure, troubleshoot, support, and improve Shadow as described in these Terms and our Privacy Policy.

We do not use your conversation content to train AI models.

You are responsible for your User Content. Do not submit content that you do not have the right to submit, or content that violates law, privacy rights, intellectual property rights, or these Terms.

Conversation Access and Human Review

We do not review conversations by default. Authorized Sophon Labs founders may access conversation content only for limited purposes, such as user-requested support, debugging specific issues, security or abuse investigations, legal compliance, or product-improvement review where you have given optional consent.

Acceptable Use

You may not use Shadow to:

  • Violate law or the rights of others.
  • Harass, abuse, threaten, defame, or harm others.
  • Generate or distribute malware, phishing, spam, scams, or deceptive content.
  • Attempt to gain unauthorized access to Shadow, our systems, or third-party systems.
  • Interfere with or disrupt Shadow.
  • Reverse engineer, scrape, overload, or abuse Shadow except as allowed by law.
  • Submit highly sensitive information unless necessary, including passwords, full payment card numbers, government IDs, or health, financial, or legal secrets.
  • Use Shadow for safety-critical decisions or emergency response.

We may suspend or terminate access if we believe you have violated these Terms or created risk for users, Sophon Labs, or others.

Privacy

Our Privacy Policy explains how we collect, use, share, and protect personal information. By using Shadow, you acknowledge our Privacy Policy.

Changes to Shadow

We may change, suspend, or discontinue Shadow or any feature at any time. We will try to provide reasonable notice for material changes where practical.

Termination

You may stop using Shadow at any time. You may request deletion of your data by contacting help@hal-e.io.

We may suspend or terminate your access if you violate these Terms, create legal or security risk, fail to pay required fees, or misuse the service.

Disclaimers

Shadow is provided "as is" and "as available." To the maximum extent permitted by law, Sophon Labs disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

Some jurisdictions do not allow certain disclaimers, so some of these disclaimers may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, Sophon Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, or service interruption.

To the maximum extent permitted by law, Sophon Labs' total liability for claims relating to Shadow or these Terms will be limited to the greater of: (a) the amount you paid to Sophon Labs for Shadow in the three months before the event giving rise to the claim; or (b) US$100.

Some jurisdictions do not allow certain liability limits, so some of these limits may not apply to you.

Indemnity

To the extent permitted by law, you agree to indemnify and hold Sophon Labs harmless from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of Shadow, your User Content, or your violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, except for conflict-of-law rules and except where mandatory consumer protection laws in your location require otherwise.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through Shadow, our website, email, WhatsApp, or another reasonable method. Continued use of Shadow after updated Terms become effective means you accept the updated Terms.

How Sophon Labs collects, uses, shares, protects, and retains personal information for Shadow.

Overview

This Privacy Policy explains how Sophon Labs, Inc. ("Sophon Labs", "we", "us", or "our") collects, uses, shares, and protects personal information when you use Shadow, our service that helps you manage day-to-day tasks.

Scope

This Policy applies to Shadow, our website, our WhatsApp-based experience, our account and payment flows, and related support services.

Shadow is intended for adults. You must be at least 18 years old, or the age of majority where you live, to use Shadow. We do not knowingly offer Shadow to children.

Information We Collect

We collect information you provide directly, information generated when you use Shadow, and information we receive from service providers.

Information you provide may include:

  • Your phone number, name, account identifiers, profile information, and authentication information.
  • Messages, instructions, tasks, preferences, and other content you send to Shadow.
  • Support requests and other communications with us.
  • Billing details needed to manage subscriptions or purchases. Full payment card details are handled by Stripe, not by Sophon Labs.

Information collected automatically may include:

  • Usage data, such as message timestamps, product events, errors, logs, and feature usage.
  • Device, browser, network, and approximate location information, where available from your device, browser, or service providers.
  • Security and diagnostic logs used to operate and protect Shadow.

Information from service providers may include:

  • WhatsApp and Meta account, messaging, authentication, and delivery information.
  • Payment status, subscription status, invoices, and transaction identifiers from Stripe.
  • Hosting, observability, analytics, and security information from infrastructure providers.

Conversations and Human Review

Shadow processes your conversation content so the service can respond to you, manage your tasks, maintain context, troubleshoot issues, and protect the service.

We do not review conversations by default. Authorized Sophon Labs founders may access conversation content only for limited purposes:

  • To provide support you requested.
  • To investigate or fix a specific bug, failure, or reliability issue.
  • To protect users, Sophon Labs, or others from abuse, fraud, security threats, or misuse.
  • To comply with legal obligations.
  • To improve Shadow where you have given optional consent for product-improvement review.

We do not use your conversation content to train AI models.

How We Use Information

We use personal information to:

  • Provide, maintain, and improve Shadow.
  • Understand and respond to your messages and task-management requests.
  • Maintain conversation history and user preferences.
  • Authenticate users and manage accounts.
  • Process payments and subscriptions.
  • Provide support and respond to requests.
  • Monitor reliability, debug errors, and improve service quality.
  • Detect, prevent, and investigate abuse, fraud, security incidents, and policy violations.
  • Send service-related notices.
  • Comply with legal obligations and enforce our terms.

Where required by law, we rely on the following legal bases:

  • Contract: to provide Shadow and related account, support, and payment features.
  • Legitimate interests: to secure, maintain, debug, and improve the service, and to prevent abuse, provided those interests are not overridden by your rights.
  • Consent: for optional product-improvement review of conversation content and for other optional uses where consent is required.
  • Legal obligation: where we must retain, disclose, or process information to comply with law.

Product Improvement

We want to improve Shadow, but conversation content is sensitive. We may use aggregated, de-identified, or minimized usage information to understand product performance and improve reliability.

We will ask for your optional consent before using identifiable conversation content for product-improvement review by our founding team. You can decline or withdraw that optional consent without losing access to Shadow.

How We Share Information

We share information with service providers that help us operate Shadow, including:

  • Cloud hosting and infrastructure providers, including AWS.
  • AI model providers, such as OpenAI, Anthropic, and similar providers we use to generate responses and operate Shadow.
  • Messaging, authentication, and account providers, including WhatsApp and Meta.
  • Payment providers, including Stripe.
  • Support, security, analytics, and operational vendors.

These providers may process personal information only as needed to provide their services to us, subject to their own terms and data-processing commitments.

We may also disclose information if necessary to comply with law, enforce our terms, protect rights and safety, investigate security or abuse, or as part of a merger, acquisition, financing, or sale of assets.

We do not sell personal information. We do not share personal information for cross-context behavioral advertising.

International Transfers

Sophon Labs is a Delaware C-corporation. We and our service providers may process information in the United States, the European Union, Latin America, and other countries. Where required, we use appropriate safeguards for international transfers, such as contractual protections.

Retention

We keep conversation history and account information until you delete it or request deletion, unless we need to retain certain information for security, legal, billing, dispute-resolution, or service-integrity reasons.

After deletion, some information may remain for a limited time in backups, audit logs, or security records before it is overwritten or deleted through normal processes.

Security

We use reasonable technical and organizational measures to protect personal information, including access controls, limited internal access, secure infrastructure, and separation of sensitive payment flows through Stripe. No online service is completely secure, so you should avoid sending passwords, payment card numbers, government IDs, health information, financial secrets, or other highly sensitive information to Shadow unless necessary.

Your Choices and Rights

Depending on where you live, you may have rights to access, correct, delete, export, restrict, or object to processing of your personal information. You may also withdraw optional consent, including optional consent for product-improvement review.

California residents may have rights to know, access, correct, delete, opt out of sale or sharing, limit certain uses of sensitive personal information, and not be discriminated against for exercising privacy rights. We do not sell personal information or share it for cross-context behavioral advertising.

European Economic Area, United Kingdom, and Swiss users may have rights to access, rectify, erase, restrict, port, or object to processing, and to lodge a complaint with a supervisory authority.

Third-Party Services

Shadow may depend on third-party services such as WhatsApp, Meta, Stripe, AI model providers, and cloud infrastructure providers. Your use of those services may also be governed by their own terms and privacy policies.

Changes

We may update this Policy from time to time. If we make material changes, we will provide notice through Shadow, our website, email, WhatsApp, or another reasonable method. The updated Policy will be effective when posted unless we say otherwise.

Conversation and Human Review Policy

When Sophon Labs may access conversation content, the limits on that access, and how optional product-improvement review works.

Overview

Shadow is a chat-based service, so conversation privacy matters. This policy explains when Sophon Labs, Inc. may access conversation content and what limits we place on that access.

Our Standard

We do not review conversations by default.

Human access to conversation content is exceptional, purpose-limited, and restricted to authorized Sophon Labs founders. We access conversation content only when there is a legitimate product, support, safety, security, legal, or consented improvement reason to do so.

When We May Access Conversation Content

Authorized Sophon Labs founders may access conversation content for the following purposes:

  • Support: to help you with an issue you reported or a request you made.
  • Debugging: to investigate a specific bug, failed task, broken flow, message-delivery issue, AI-response issue, or reliability problem.
  • Security and abuse: to detect, prevent, or investigate fraud, spam, misuse, account compromise, threats, or other harmful activity.
  • Legal: to comply with law, legal process, or enforce our Terms of Service.
  • Product improvement: to improve Shadow where you have given optional consent for product-improvement review.

When We Will Not Access Conversation Content

We do not access conversation content:

  • Out of curiosity.
  • For unrelated internal browsing.
  • For sales or marketing review.
  • To embarrass, profile, or target individual users.
  • For employee training, demos, investor materials, or public examples unless the content is anonymized, aggregated, or you have given explicit permission.
  • To train AI models.

Product-Improvement Review

Product-improvement review of identifiable conversation content is optional. If we ask for this consent, you can say no and still use Shadow.

If you give consent, authorized Sophon Labs founders may review conversation content to understand how Shadow performs, identify confusing behavior, improve prompts and product flows, and fix recurring issues.

You can withdraw optional product-improvement consent at any time by contacting help@hal-e.io. Withdrawal does not affect processing that happened before withdrawal.

Support Review

If you contact us for support, we may review the messages and logs reasonably needed to understand and resolve your issue. Where practical, we will limit review to the relevant conversation, timeframe, account, or technical trace.

Access Controls

Access to conversation content is limited to authorized Sophon Labs founders. We aim to keep access restricted, purposeful, and auditable.

As Shadow grows, we will continue to improve access controls, review processes, logging, and internal policies so that conversation access remains limited to people who need it for permitted purposes.

Sensitive Information

You should avoid sending passwords, full payment card numbers, government IDs, health information, financial secrets, legal secrets, workplace secrets, or other highly sensitive information to Shadow unless necessary.

Payments and purchases happen through a secure payment portal operated by Stripe or another payment provider. We do not need your full payment card information in chat.

If we identify obviously sensitive information, such as credentials or payment card information, we may redact, delete, or limit access to that information where practical.

Retention and Deletion

Conversation history is kept until you delete it or request deletion, unless we need to retain certain information for security, legal, billing, dispute-resolution, or service-integrity reasons.

Requests You Can Make

Depending on where you live, you may be able to ask us to:

  • Confirm whether we process personal information about you.
  • Access a copy of your personal information.
  • Correct inaccurate personal information.
  • Delete your account, conversation history, or personal information.
  • Export your conversation history or account information.
  • Withdraw optional product-improvement review consent.
  • Object to or restrict certain processing.
  • Opt out of sale or sharing of personal information, where applicable.

We do not sell personal information or share it for cross-context behavioral advertising.

How to Make a Request

Email help@hal-e.io with:

  • The phone number or account identifier you use with Shadow.
  • The request you want to make.
  • Any details that help us locate the relevant information.

For security, we may ask you to verify your identity before we complete the request.

Deletion

If you request deletion, we will delete or de-identify personal information associated with your Shadow account, subject to exceptions such as:

  • Security, fraud-prevention, or abuse-prevention records.
  • Billing, tax, accounting, or payment records.
  • Records needed to comply with law or resolve disputes.
  • Backups and audit logs that are overwritten or deleted through normal processes.

Deleting your data may prevent Shadow from preserving your conversation history, preferences, tasks, or account state.

Timing

We aim to respond to requests within 30 days. If a request is complex or we need more time, we will let you know.

Optional Product-Improvement Consent

You can withdraw optional consent for product-improvement review of identifiable conversation content at any time by emailing help@hal-e.io.

Withdrawal does not affect processing that happened before withdrawal, and it does not prevent us from processing conversation content when needed to provide Shadow, troubleshoot a specific issue, protect the service, comply with law, or handle support you request.
